Embra Mentors — Terms of Service

1. Acceptance of Terms
By creating an account or using Embra Mentors (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not create an account or use the Service.
You confirm that you have read these Terms, you understand them, and you have the legal capacity to enter into a binding agreement.
2. Description of Service
Embra Mentors is a connection platform that helps law students find volunteer mentorship from practicing attorneys. The Service is operated by Embra LLC, an Arkansas limited liability company headquartered in Little Rock, Arkansas.
Embra Mentors is not a legal services platform. The Service does not provide legal advice, legal representation, or legal counsel. No attorney-client relationship is formed between any user of the Service and Embra, between users of the Service and each other, or between users of the Service and any third party as a result of using the Service.
Mentorship conversations on Embra Mentors are educational and supportive in nature. They are not, and should not be construed as, legal advice. Students should not rely on information shared through the Service for any legal matter.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding agreements in your jurisdiction
- Meet the role-specific requirements below
Student users must be currently enrolled in, or admitted to, an accredited law program (Juris Doctor, Master of Laws, or equivalent).
Mentor users must:
- Hold an active license to practice law in at least one U.S. state or territory
- Be in good standing with the bar association(s) in which they are admitted
- Attest that the bar credentials they provide to Embra are current and accurate
If you do not meet these eligibility requirements, you must not create an account.
4. Account Responsibilities
You are responsible for:
- Providing accurate, current, and complete information at signup and throughout your use of the Service
- Maintaining the confidentiality of your password and any other authentication credentials
- All activity that occurs under your account
- Notifying Embra immediately of any unauthorized access to your account
Mentor users specifically attest, by accepting these Terms and by submitting their bar credentials, that:
- Their bar license is active and in good standing as of the date they submit their credentials
- They will notify Embra promptly if their license status changes (suspended, inactive, disbarred, etc.)
- They will not represent themselves to other users as licensed in jurisdictions where they are not, in fact, licensed
Embra reserves the right to verify bar credentials at any time using publicly available state bar databases.
5. Content Rules
You agree not to:
- Harass, threaten, intimidate, or discriminate against any other user
- Send spam, unsolicited promotional content, or chain messages
- Impersonate any other person, including attorneys you are not, law students you are not, Embra staff, or any third party
- Solicit legal representation from mentors or offer legal representation to students
- Solicit business referrals or use the Service to advertise legal services for compensation
- Share another user's personal information without their consent
- Use the Service to facilitate any unlawful activity
- Upload or transmit malicious code, malware, or anything that could harm the Service or its users
- Attempt to circumvent any technical or security measures of the Service
- Scrape, copy, or republish content from other users without their consent
Embra does not pre-screen or moderate every message in real time. Users can report problematic content via the in-app reporting tool, and Embra reviews reports as they come in.
6. Mentorship is Volunteer and Non-Paid
For the current version of the Service, all mentorship through Embra Mentors is volunteer and unpaid. Mentors do not charge students, Embra does not pay mentors, and students do not pay Embra to access the Service.
You agree not to use the Service to:
- Negotiate, agree to, or accept payment for mentorship sessions
- Refer students or mentors to paid services for compensation
- Treat Embra Mentors as a substitute for paid legal services
Embra may introduce a paid mentorship feature in a future version of the Service. If that happens, Embra will provide notice and updated Terms before any user is asked to pay or be paid through the Service.
7. Embra's Role and Limitations
Embra Mentors is a connection platform only. Embra does the following:
- Facilitates account creation and verification at signup
- Provides tools to discover mentors and request mentorship
- Provides a messaging surface for matched mentorship pairs
Embra does not do the following:
- Verify the ongoing accuracy of any mentor's bar credentials after initial signup
- Supervise, moderate, or monitor mentorship conversations
- Guarantee any specific outcome from a mentorship relationship
- Guarantee that a student will be matched with a mentor, or that any given mentor will be available
- Provide legal advice or represent itself as a legal authority on any matter
8. Termination
You may terminate your account at any time using the in-app account deletion flow (see Settings → Delete Account).
Embra may suspend or terminate your account, with or without notice, if Embra reasonably determines that:
- You have violated these Terms
- You have violated applicable law
- You pose a safety, security, or operational risk to the Service or to other users
- You have provided false information, including but not limited to misrepresenting your bar credentials
Upon termination, your account becomes inaccessible. Mentorship message history is anonymized rather than deleted entirely so that the other party in any conversation retains their own copy of the conversation. See the Privacy Policy for details on data retention after termination.
9. Data Handling
How Embra collects, uses, stores, and shares your data is governed by Embra's Privacy Policy. By using the Service, you also agree to the Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
The Service is provided "as is" and "as available," without warranty of any kind, express or implied. Embra does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
Embra's total liability to you for any claim arising out of or related to the Service is limited to the greater of (a) the amount you paid Embra for use of the Service in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). Because the Service is currently free, the amount under (a) is $0.
Embra is not liable for:
- Indirect, incidental, special, consequential, exemplary, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Any harm arising from conduct of other users on the platform
- Any harm arising from reliance on information shared through mentorship conversations
11. Indemnification
You agree to defend, indemnify, and hold harmless Embra, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law
- Your violation of any third party's rights
- Any content you submit, transmit, or post through the Service
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arkansas, without regard to conflict-of-laws principles.
Any dispute arising out of or related to these Terms or the Service that cannot be resolved through good-faith negotiation will be resolved exclusively in the state or federal courts located in Pulaski County, Arkansas. You consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.
13. Changes to These Terms
Embra may update these Terms from time to time. When Embra makes a material change:
- The "Last updated" date at the top of these Terms will be revised
- The
TERMS_VERSIONconstant will be updated to the publish date - Existing users will see a disclaimer banner the next time they open a mentorship conversation, indicating that the Terms have changed
Your continued use of the Service after a material update to these Terms constitutes your acceptance of the updated Terms.
If you do not agree to updated Terms, you may terminate your account using the in-app deletion flow before continuing to use the Service.
